Job Function Provide legal counsel to the company across a spectrum of corporate legal matters, including business transactions, financing transactions, intellectual property, employment, tax, corporate governance and compliance, government relations and regulation, under the supervision of the Senior Corporate Counsel. Responsibilities Corporate Governance assist with drafting corporate policies and preparation of board and committee materials. Financing and Venture Capital Transactions drafting and reviewing documents and assisting with closings for public and private securities offerings and venture capital transactions. Entity Formation / Management coordinate entity formation and reporting and documentation of policies through entity resolutions. Acquisitions / Dispositions review and research corporate legal matters and perform corporate diligence relating to property acquisitions and dispositions. Investor Relations review press releases, scripts, investor presentations, website and other public communications. SEC Reporting assist with drafting and reviewing SEC reports, including Form 10-Ks, Form 10-Qs, Form 8-Ks, proxy statements, annual reports and Section 16 reports (Forms 3, 4 and 5). Employment Law research employment law matters and develop employment policies. Other commercial contract review, drafting and negotiation, and assist with intellectual property matters, tax issues and matters relating to tenant securities. Legal Developments track current legal developments through review of legal publications and attendance at seminars and webcasts.
Skills/Experiences Minimum fouryears of relevant law firm or in-house experience. JD from a top tier law school, plus active Bar Association Membership in California. Flexible with the ability to handle diverse tasks with short deadlines. Proven leadership and management skills with a track record of results. Strong attention to detail and organizational, problem-solving and analytical skills. Must have excellent interpersonal and written and oral communication skills, with a focus on a team-oriented approach and demonstrated ability to create strong relationships built on trust and confidence through the organization. Flexible schedule, 60% time, approx. 3-days per week. Must be computer literate and proficient in Microsoft Word, Excel and PowerPoint.
